Voice Confirmations — Terms of Service
Last updated: September 25, 2026
These terms govern an accounting or bookkeeping firm's use of Voice Confirmations ("the Service"), software provided by The Financial Smith LLC ("we", "us"). They are between us and the firm. A firm's own clients are not party to them — they simply answer their accountant's email.
For our website and our own consulting and accounting services, see the Terms of Service and the Consulting Engagement Agreement.
1. What the Service does Each week the Service reads a client's transactions from the firm's ledger system, emails that client the list with how each item was recorded, receives the client's reply by email or voice note, and proposes changes for the firm to review. The firm decides which proposals to accept, and the Service records the accepted changes to the firm's ledger system.
2. What it does not do
- It does not originate changes. Every change it records comes from a client's own confirmation and the firm's decision. It never invents an entry, and it does not post, delete or alter anything beyond the transactions the firm has put in front of a client.
- It does not replace professional judgment. Proposals are drafted by software from a client's own words and must be reviewed by a qualified person. The firm remains responsible for the books it produces.
- It is not an attest service and creates no accountant-client relationship between us and the firm's clients.
3. Your account Staff sign in with a single-use emailed link. The firm is responsible for who it invites and for telling us promptly when someone should lose access. Each firm sees only its own clients.
4. Your ledger connection The firm authorises us to read its clients' ledgers. The firm confirms it has the right to do so and that its agreement with its ledger provider permits it. We use that access only to operate the Service, and the firm may revoke it at any time, which stops the Service for those clients.
5. Your data The firm and its clients own their data. We claim no ownership. We process it only to provide the Service and on the firm's instructions — the Data Processing Agreement sets that out and forms part of these terms.
6. Artificial intelligence The Service uses third-party speech-to-text and language models to transcribe and read client replies. No client data is used to train any model; we opt out of model training with every request. Output is a proposal, never an applied change. Details are in the Privacy Policy.
7. Acceptable use The firm agrees not to use the Service unlawfully, not to send it data it has no right to send, not to attempt to reach another firm's data, and not to resell or white-label it without our written agreement.
8. Fees Billed per client per month as set out in the firm's order or proposal, monthly in advance unless agreed otherwise. Fees may change on 30 days' notice, and a firm that does not accept a change may cancel before it takes effect.
9. Availability We aim to keep the Service running and to send each client's weekly email on schedule, but we do not commit to an uptime percentage and provide no service credits. The Service depends on third parties — the ledger provider, the email provider, the hosting provider — and we are not liable for their outages. Where a weekly send fails, we will tell the firm.
10. Support Email hello@thefinancialsmith.com. We support the firm; the firm supports its own clients. We aim to respond within one business day.
11. Ending it Either party may cancel with 30 days' notice. Either may end it sooner for a material breach the other does not fix within 10 days of being told. On termination we stop processing, export the firm's data to it on request, and delete what remains within 60 days, except what we must keep by law or professional obligation.
12. Confidentiality Each party will protect the other's confidential information and use it only for the purpose of these terms. A firm's client data is the firm's confidential information.
13. Warranties We provide the Service with reasonable skill and care. Beyond that it is provided as is, without implied warranties of merchantability or fitness for a particular purpose.
14. Liability Neither party is liable for indirect or consequential loss, including lost profits. Our total liability for any claim is limited to the fees the firm paid us in the six months before the claim. Nothing here limits liability that cannot be limited by law.
15. Indemnity The firm will indemnify us against claims arising from data it had no right to send us, and from its own use of the Service in breach of these terms.
16. Changes We may update these terms on 30 days' notice for anything material. Continuing to use the Service after that means accepting them.
17. Governing law Georgia. Disputes go first to good-faith discussion, then mediation, then binding arbitration in Atlanta, Georgia.
